The website located at ulgen.holdings (the “Site”) is owned and operated by Ulgen Holdings Inc, a Delaware corporation (“Ulgen Holdings”, “we”, “us” or “our”). These Terms of Use (“Terms”) govern your use of the Site. Certain features of the Site may be subject to additional guidelines or rules posted on the Site, which form part of these Terms.

By accessing or using the Site, you agree to these Terms on behalf of yourself or the organization you represent, and you confirm that you have the authority to do so. You must be at least 18 years old to use the Site. If you do not agree to these Terms, please do not use the Site.

1. Information only

  1. About the Site. The Site describes Ulgen Holdings and the companies it has built, and is provided for general information. We work to keep it accurate and current, but we do not guarantee that everything on it is complete or up to date.
  2. No offer or advice. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or other investment, and nothing on it is investment, legal, tax or other professional advice. Ulgen Holdings is self-funded and does not raise or manage capital from investors.
  3. Our companies. Nuxo, IPAware and the other companies featured on the Site operate their own products and websites, under their own terms.

2. Access to the Site

  1. License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own personal, non-commercial purposes. Journalists and publishers may also use the files on our Press page to report on Ulgen Holdings and its companies.
  2. Restrictions. You may not: (a) license, sell, rent, lease, transfer, assign, distribute or commercially exploit the Site or any content on it; (b) modify, create derivative works from, disassemble, reverse-compile or reverse-engineer any part of the Site; (c) access the Site to build a similar or competing product or service; (d) copy, reproduce, distribute, republish, download, display, post or transmit any part of the Site, except as these Terms expressly allow; or (e) use the Site in a way that breaks the law, interferes with its operation or security, or tries to reach systems or data you are not authorized to access. All copyright and other proprietary notices on the Site must be kept intact on any copies you are permitted to make.
  3. Changes to the Site. We may modify, suspend or discontinue the Site, or any part of it, at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension or discontinuation.
  4. No support obligation. We have no obligation to provide you with support or maintenance for the Site.
  5. Ownership. All intellectual property rights in the Site and its content, including copyrights, trademarks and trade secrets, and the names and logos of Ulgen Holdings and of the companies and products it features, belong to Ulgen Holdings Inc, our suppliers or their respective owners. These Terms do not transfer any ownership rights to you, except for the limited license in section 2.1. All rights not expressly granted are reserved.
  6. Feedback. If you share feedback or suggestions about the Site with us, you grant us a perpetual, irrevocable, worldwide, non-exclusive, fully paid, royalty-free license to use them in any manner and for any purpose, without attribution. Please do not send us feedback that you consider proprietary or confidential.

3. Privacy

Your use of the Site is also governed by our Privacy policy, which forms part of these Terms. It describes the personal information we collect, how we use and share it, and the cookies and similar technologies the Site uses. If these Terms and the Privacy policy conflict about personal information, the Privacy policy controls.

4. Indemnification

You agree to defend, indemnify and hold harmless Ulgen Holdings and its officers, employees and agents from any claims, and reasonable costs and attorneys’ fees, arising out of (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any applicable law or regulation. We may assume control of the defense of any such claim at your expense, and you agree to cooperate with our defense. You agree not to settle any such claim without our prior written consent. We will make reasonable efforts to notify you promptly of any claim we become aware of.

5. Third-party services

  1. Third-party services. The Site includes links to websites and services operated by others, including nuxo.io, ipaware.io, LinkedIn and publications that have written about us (“Third-Party Services”). We do not control, endorse or take responsibility for any Third-Party Services. You use them at your own risk, and their own terms and privacy practices apply.
  2. Release. To the fullest extent permitted by law, you release Ulgen Holdings and its officers, employees, agents, successors and assigns from all claims, demands and damages of any kind arising out of or related to Third-Party Services. If you are a California resident, you waive California Civil Code section 1542, which provides: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

6. Disclaimers

The Site is provided “as is” and “as available”. To the fullest extent permitted by law, Ulgen Holdings and its suppliers disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or secure, or free of viruses or other harmful code. Where applicable law requires warranties, they are limited to 90 days from your first use of the Site.

7. Limitation of liability

To the maximum extent permitted by law: (a) Ulgen Holdings and its suppliers will not be liable for any lost profits, lost data, costs of substitute products, or any indirect, consequential, incidental, special, exemplary or punitive damages arising from or related to these Terms or your use of, inability to use, or reliance on the Site; and (b) our total liability to you for any claim arising under these Terms is limited to the greater of (i) $50 and (ii) the amount you paid us under these Terms in the six months before the event giving rise to the claim. Multiple claims do not increase this limit.

8. Term and termination

These Terms remain in effect while you use the Site. We may suspend or terminate your access to the Site at any time and for any reason, including if we believe you have violated these Terms, and we are not liable to you for doing so. Sections 2.2 to 2.6 and sections 3 to 10 survive termination.

9. State-specific notices

  1. California. Under California Civil Code section 1789.3, California users are entitled to the following consumer rights notice. The Site is provided by Ulgen Holdings Inc, 447 Sutter St, #1235, San Francisco, CA 94108. To file a complaint about the Site or receive further information about its use, write to that address or email [email protected]. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
  2. Privacy rights. Residents of California and other U.S. states with consumer privacy laws may have additional rights over their personal information. Our Privacy policy explains them and how to exercise them.

10. General

  1. Changes to these Terms. We may update these Terms from time to time. The date at the top of this page shows when they last changed. If we make material changes, we will post a prominent notice on the Site. By continuing to use the Site after changes take effect, you accept the updated Terms.
  2. Governing law and venue. These Terms, and any dispute arising out of or related to them or the Site, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any such dispute, and you consent to their jurisdiction and venue. Either party may, however, seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, and either party may bring an individual action in small claims court for claims within that court’s limits.
  3. Export. You agree not to export, re-export or transfer any technical data or products obtained from the Site in violation of U.S. export control or sanctions laws or the applicable laws of other countries.
  4. Electronic communications. By using the Site or emailing us, you consent to receive communications from us electronically, by email or by notices posted on the Site, and agree that they satisfy any legal requirement that communications be in writing.
  5. Accessibility. We aim for the Site to conform to the Web Content Accessibility Guidelines (WCAG) 2.2 at level AA. If anything on the Site is difficult for you to access or use, or if you have suggestions, please email [email protected], and we will make reasonable efforts to address it promptly.
  6. Entire agreement. These Terms, together with the Privacy policy and any guidelines referred to in them, are the entire agreement between you and Ulgen Holdings about your use of the Site. If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it valid, and the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. “Including” means “including without limitation”. You may not assign these Terms without our prior written consent; we may assign them freely.
  7. Copyright and trademarks. Copyright © 2026 Ulgen Holdings Inc. All rights reserved. The trademarks, logos and service marks displayed on the Site belong to Ulgen Holdings or to third parties, and you may not use them without the prior written consent of their owner.
